General Terms and Conditions of Sale

The General Terms and Conditions of Sale for purchasing Eufonia products ("Products") displayed on this website ("Website") of Ann Max S.r.l., Strada Baccelliera n. 2, 41126, Modena (Mo), VAT number 01545460360 ("Ann Max" or, alternatively, the "Seller"), are included in this sales contract ("Contract"). Every user navigating the Website ("User") is invited to review the Contract before completing a purchase order of Products on the Website ("Order"); the submission of an Order implies acceptance of these terms. Any modification to the Contract will become immediately effective upon publication on the Website and will govern all subsequent Orders.

Customers The conclusion of Orders on the Website is allowed only for individuals with the legal capacity to enter into binding agreements under applicable law and acting for purposes unrelated to any business or professional activity they may conduct ("Customers").

Where required, Customers must provide their first name, last name, date of birth, email address, delivery address, tax identification code, and other personal information. Such information must be true, accurate, and constantly updated.

Users may not place Orders on the Website using the name or credentials of another person unless expressly authorized by the rightful owner.

The purchase of Products for resale purposes is prohibited.

Order Acceptance – Sales Contract Upon electronic submission of an Order, the Customer will receive an email confirming the receipt of the Order.

This communication serves to inform the Customer that the Order has been received and to provide them with a unique Order identification code. However, it does not imply acceptance of the Order by the Seller. If any details in the email are incorrect, the Customer must promptly inform the Seller’s customer service ("Customer Service").

The Order will be accepted by the Seller only when the Seller sends the Customer an Order confirmation ("Order Confirmation"), typically coinciding with the shipment of the Products. The Contract is finalized at the moment the Customer receives the Order Confirmation.

Until that time, the Seller reserves the right not to accept an Order at its discretion. In particular, the Seller will not be liable if a Product ordered is removed from the Website after the Order has been placed. It may happen that the Website mistakenly displays Products that are unavailable at the time.

In case of partial unavailability of the Order, Customer Service will contact the Customer to verify whether they prefer (a) to receive a partial Order, (b) the complete Order in multiple shipments, or (c) to cancel the Order.

In case of total unavailability, Customer Service will inform the Customer that the Order cannot be processed and will cancel it. In such a case, no charges will be made to the Customer.

Payments Orders may be placed using major credit cards, debit cards, or other payment methods available on the Website (collectively, "Payment Methods").

The Seller will charge the purchase price, as defined below ("Price"), upon Order acceptance. However, before Order acceptance, security checks may be performed on the selected Payment Method, including pre-authorization or pre-charges for precautionary purposes.

The Seller uses a leading payment gateway to authorize Order payments ("Payment Gateway"); as a result, the Seller does not directly handle any financial information related to the Payment Method used by the Customer, nor does the Website process any financial data provided to complete the Order.

The Payment Gateway protects credit or debit card details by encrypting sensitive information to ensure secure transmission. The Website uses Secure Socket Layer (SSL) technology to provide a higher security standard for each Order.

In the unlikely event of an error, negligence, or misconduct related to transaction processing by the Payment Gateway or intermediaries, neither the Seller nor the Website will be liable.

The Seller reserves the right to cancel a transaction and the related Order if fraudulent use of the Payment Method is reported. Additionally, the Seller will not be liable for any unauthorized use of a Payment Method by third parties unless attributable to its error or negligence.

Shipping and Deliveries Eufonia ships and delivers Orders using leading couriers.

The Seller undertakes to deliver Orders to Customers accurately and promptly, respecting the delivery terms indicated on the Website at the time of purchase and, in any case, within 30 (thirty) days from the date of sending the Order Confirmation to the Customer.

The Order Confirmation is sent to the Customer when the Products are handed over to the courier for shipment.

Under certain circumstances, such as sales periods or company closures, delivery times may vary. The Seller will not be liable for delivery delays beyond its control, including force majeure, strikes, natural disasters, customs procedures, and courier service disruptions.

The Order Confirmation includes a tracking number that allows the Customer to monitor the shipping and delivery process on the courier’s website.

The Customer is encouraged to facilitate the delivery process by being available to receive the Order or delegating receipt to a third party.

If the courier is unable to complete the delivery, they will leave a notice and attempt to schedule a new delivery with the Customer. If delivery ultimately fails, Customer Service will contact the Customer to arrange a new shipment.

Upon delivery, the Customer must check the number of packages and the integrity of the outer packaging. If there are any anomalies, such as missing packages or damaged packaging, the Customer must sign the delivery document with a reservation and contact Customer Service. Failure to do so will prevent the Customer from contesting the delivery, except as provided for in Article 8 regarding hidden defects and mandatory consumer protection laws.

Prices All prices published on the Website include VAT ("Prices").

Shipping costs ("Shipping Costs") are detailed in the "Shipping Costs" section.

The Shipping Costs (if applicable), including VAT, will be displayed in the Order summary during checkout and will be included in the Order Confirmation sent to the Customer.

Price changes will apply from the date of publication on the Website and will not be retroactive to previously accepted Orders.

Except in cases of recognized errors under Article 1431 of the Italian Civil Code, the Seller reserves the right not to accept an Order due to incorrect pricing on the Website or in the Order receipt confirmation email before Seller acceptance.

Vouchers and Discount Codes As part of marketing campaigns, the Seller may offer vouchers and discount codes for purchasing Products on the Website.

These vouchers and discount codes cannot be used for in-store purchases.

Vouchers and discount codes issued by the Seller are non-refundable under any circumstances.

Non-Conforming Products – Legal Warranty The Seller guarantees that the Products sold are not defective and conform to the Contract, meaning they:

  • Match the description on the Website and possess the qualities presented as samples or models;
  • Are suitable for their intended use;
  • Meet the usual quality and performance standards of similar goods.

Due to technological limitations, Eufonia and the Website cannot guarantee perfect color accuracy on screens.

The sale of Products is governed by Articles 129, 130, and 132 of the Consumer Code. If a Product is non-conforming, the Customer may request repair, replacement, a price reduction, or a refund.

Applicable Law and Disputes These General Terms and Conditions of Sale and the related sales contracts are governed by Italian law.

Disputes will be handled by the competent court of the Customer’s residence or domicile or, at their choice, the Court of Modena. Alternative dispute resolution mechanisms are also available under Articles 66 and 141 of the Consumer Code.

Communications and Complaints For any communications, information, or complaints regarding an Order or these Terms, the Customer may contact Customer Service.

Miscellaneous Singular terms include the plural and vice versa, based on context.

No waiver by Eufonia of any breach implies a waiver of subsequent breaches.

If any provision is deemed illegal, invalid, or unenforceable, it will not affect the validity of the remaining provisions.
